1. Services
Axynoxia provides custom software development, AI engineering, and cloud infrastructure services. All services are delivered under a fixed-scope contract agreed upon before work begins. No work commences without a signed agreement.
2. Engagements & Payment
Engagements are priced on a fixed-scope basis with milestone-based delivery. Payment schedules are defined in the project contract. Late payments may result in a pause of delivery. All prices are in EUR unless otherwise agreed.
3. Intellectual Property
Upon full payment, the client receives full ownership of all custom-developed code and assets delivered under the engagement. Axynoxia retains the right to showcase the project in its portfolio unless explicitly restricted by the client in writing.
4. Confidentiality
Axynoxia treats all client information as confidential. We do not disclose client details, project specifications, or business logic to third parties without written consent. Clients may request a non-disclosure agreement (NDA) prior to any discovery calls.
5. Warranties & Liability
Axynoxia warrants that all deliverables will conform to the agreed specification. Our liability is limited to the total value of the engagement. We are not liable for indirect or consequential damages, including lost revenue or data loss, unless caused by gross negligence.
6. Termination
Either party may terminate an engagement with 14 days written notice. Work completed up to the termination date is billable. Deposits are non-refundable unless Axynoxia is unable to begin the engagement.
7. Governing Law
These terms are governed by the laws of the European Union and the jurisdiction agreed upon in the project contract. Disputes will first be addressed through good-faith negotiation.
